Terms of sale and licence

Last updated: 26 October 2026

These terms are the licence agreement (EULA) for Ninth Forge products, and the terms for buying them. We’ve kept them as plain as we can. If anything is unclear, email hello@ninthforge.com.

1. Who you’re dealing with

Ninth Forge is a business of Inspire Labs Pty Ltd (ABN 93 696 524 071, ACN 696 524 071), based in Perth, Western Australia. “We”, “us” and “Ninth Forge” mean Inspire Labs Pty Ltd. “You” means the person or organisation that buys, trials or uses a Ninth Forge product. If you accept these terms for an organisation, you confirm you’re allowed to bind it.

You accept these terms when you buy, start a trial, install a product or enter a licence key. Using the product after we update these terms (see section 17) means you accept the update.

Merchant of record. Our order process is run by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders: it takes payment, charges any sales tax, issues invoices and receipts, and handles payment questions and refunds. Paddle’s buyer terms apply to the payment itself. These terms cover the licence.

2. Words we use

  • Product: a paid Ninth Forge product (Plan, Charts, Suite or Driver Tree), in any form we ship it: Power Apps component (PCF) solution, npm package, documentation and updates.
  • Tenant: your Microsoft Entra ID (Azure AD) tenant. Licence keys are tied to one tenant ID.
  • Production environment: a Power Platform environment used for real work by end users. Anything else (development, test, UAT, sandbox, training, trial or developer environments) is a non-production environment.
  • Users: the people who can use an app containing the Product in your production environment.
  • Tier: Team (up to 50 users), Business (up to 250 users) or Enterprise (unlimited users).
  • Term: the period you’ve paid for (one year, or two years for a prepaid quote).

3. What your licence lets you do

For each licence you buy, and for the Term, we grant you a non-exclusive, non-transferable licence to:

  1. use the Product in apps in one production environment in the licensed tenant, for up to the number of Users your Tier allows;
  2. use the Product in any number of non-production environments in the same tenant, at no extra cost;
  3. use the Product’s npm packages in Power Apps code apps that run in that tenant, on the same basis;
  4. let your staff, contractors and consultants build, test and support those apps for you.

A Suite licence covers Plan and Charts. Driver Tree is licensed separately.

Need more? A second production environment needs a second licence. If you go over your Tier’s user limit, move to the right Tier within 30 days (email us and we’ll sort out the difference). Tier limits work on trust; we may ask you, at most once a year, to confirm which Tier fits.

Consultants and partners: if you build apps for clients, each client needs its own licence for its tenant. Ask us about the partner discount.

4. What you can’t do

  • Sell, rent, sublicense or redistribute the Product on its own, or as part of a component library, template pack or anything that competes with it.
  • Share your licence key outside your organisation, or use it in a tenant it wasn’t issued for.
  • Remove, hide or work around the licence check, watermark or copyright notices.
  • Reverse engineer, decompile or modify the Product, except as the law allows despite this restriction.
  • Use the Product or our website for anything unlawful, fraudulent, infringing or harmful, including spam, malware, probing our systems or scraping our site.

5. Trials

You can trial each paid product (Plan, Charts, Driver Tree) free for 30 days, once per product per tenant. A Suite trial counts as a trial of both Plan and Charts, so it isn’t available once either has been trialled. A trial key unlocks everything, for evaluation. When it expires the Product keeps working but shows a watermark until you add a paid key. If you request a quote, we can issue a temporary key so procurement doesn’t hold you up.

6. Free products

The free pack (Time Picker, Date Range Picker, Toast, Drag List) and Charts Lite are free and open source under the MIT licence. The MIT licence governs them, not these terms, though sections 4 (website use), 13 and 14 still apply to our website.

7. Prices, payment and renewal

  • Prices are on our pricing page, in US dollars per production environment per year, excluding tax. Paddle adds any sales tax, VAT or GST that applies where you are, and shows the total before you pay. Local-currency prices may be shown at checkout.
  • Licences are subscriptions that renew automatically through Paddle at the end of each Term (every year, or every two years for a 2-year prepaid licence), until you cancel. We email you about 30 days before each renewal, and send your new key when it renews.
  • Launch pricing: if you buy before 30 June 2027, your price stays the same for as long as your subscription keeps renewing.
  • You can pay by card, or by invoice or purchase order through our quote page. Invoices are payable within 30 days.
  • If we change prices, the change applies to new purchases and, for existing customers without launch pricing, from your next renewal after at least 30 days’ notice.

8. Cancelling

Cancel any time in the Paddle customer portal (the link is in every receipt) or by emailing us. Your licence keeps working until the end of the Term you’ve paid for, then it doesn’t renew. For refunds, see our refund policy.

9. Licence keys

  • Keys are checked offline, inside your environment. They’re tied to your tenant ID and carry the product, Tier and expiry date.
  • Keep your keys within your organisation. Lost a key? Use find my keys.
  • Each renewal comes with a new key. The old key keeps working for 14 days after it expires, so there’s time to swap it in.
  • If a key expires or isn’t valid, the Product keeps working but shows a watermark. We never switch off your apps.

10. Updates and support

During the Term you get every update and fix we release for your Product. We work to keep the Product compatible with Microsoft’s Power Platform updates, but Microsoft changes the platform without notice and we can’t promise compatibility with every change.

Support is by email to hello@ninthforge.com. We aim to reply within 2 business days (Perth time), sooner for Business and Enterprise.

11. Your data

The Product runs entirely in your environment and your users’ browsers. It makes no network calls and sends us no data: no telemetry, no analytics. We never see your apps, your Dataverse data or your users. Our privacy policy covers the little we do collect when you buy, trial or contact us.

12. Ownership

We (and our licensors) own the Product and all intellectual property in it. You own your apps and your data. If you send us suggestions, we can use them freely, without owing you anything.

13. Your consumer rights

Our products come with guarantees that cannot be excluded under the Australian Consumer Law, and similar laws elsewhere may give you rights too. Nothing in these terms takes away rights you have under those laws.

Where the law allows us to limit our liability for a failure to meet a consumer guarantee, and the Product isn’t of a kind ordinarily bought for personal, domestic or household use, our liability is limited to supplying the services again or paying the cost of having them supplied again (for example, a refund of your fees).

14. Warranty and liability

Apart from the rights in section 13, the Product is provided “as is”. We don’t promise it will be uninterrupted, error-free or suitable for every purpose. Test it in your non-production environments (that’s what the free trial is for) before relying on it.

To the extent the law allows:

  • we aren’t liable for indirect or consequential loss, such as loss of profit, revenue, data or business opportunity;
  • our total liability under or in connection with these terms is limited to the fees you paid us for the affected Product in the 12 months before the claim.

15. Suspension and termination

We may suspend or end your licence if you materially breach these terms and don’t fix the breach within 14 days of our notice, don’t pay, commit fraud, or put our systems or other customers at risk. If your licence ends, stop using the Product in production and remove your key. If we end it without cause, we’ll refund the unused part of your fees.

Sections 4, 11 to 14, 16 and 18 survive the end of your licence.

16. Refunds end the licence

If you get a refund, the licence for that purchase ends on the date of the refund. Remove the key from your environments within 14 days.

17. Changes to these terms

We may update these terms. We’ll change the date at the top and, for changes that materially affect paying customers, email you at least 30 days before they apply. Changes apply from your next renewal; until then the terms you bought under still apply.

18. General

These terms are governed by the law of Western Australia, and the courts of Western Australia have jurisdiction. If part of these terms can’t be enforced, the rest still applies. These terms, our pricing page and your Paddle order are the whole agreement for your licence.
